This website is operated by Stwrap, LLC (“Stwrap,” “we,” “us,” or “our”). Throughout these Terms of Service (“Terms”), “Site” refers to Stwrap.com, and “Services” refers to the Site and the products and services we make available through it.

By visiting our Site, placing an order, submitting content for customization, or otherwise using our Services, you agree to these Terms and any policies referenced in them.

Please read these Terms carefully before using the Site. If you do not agree to these Terms, you should not use the Site or Services.

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to sell our products and services.

1. Online Store Terms

By using the Site, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence, or that you have the permission of a parent or legal guardian where required.

You may not use our Site, Services, or products for any unlawful or unauthorized purpose or violate any applicable law, including intellectual property and copyright laws.

You may not transmit viruses, malicious code, or other technology intended to damage, disrupt, interfere with, or gain unauthorized access to the Site or Services.

We reserve the right to suspend or terminate access to the Services for violations of these Terms.

2. General Conditions

We reserve the right to refuse or cancel service or orders where reasonably necessary, including suspected fraud, misuse of the Site, violations of these Terms, product availability issues, pricing errors, or unlawful activity.

You may not reproduce, duplicate, copy, sell, resell, exploit, reverse engineer, or otherwise commercially use any portion of the Site or Services without our prior written permission, except as permitted by applicable law.

Headings are provided for convenience and do not limit or otherwise affect these Terms.

3. Product Information

We make reasonable efforts to ensure that product descriptions, photographs, colors, dimensions, pricing, availability, and other information displayed on the Site are accurate.

However, actual colors and appearance may vary depending on your device, monitor, lighting, materials, manufacturing processes, and the image or artwork submitted for customization.

Because Stwrap products may incorporate printing, assembly, epoxy doming, and other manufacturing processes, minor variations that do not materially affect the intended use of a product are not necessarily defects.

We reserve the right to correct errors or inaccuracies and update product information at any time.

4. Prices, Products & Availability

Prices, promotions, product availability, designs, and specifications may change without notice.

We reserve the right to:

Limit quantities available for purchase.
Limit or refuse orders where reasonably necessary.
Discontinue products or designs.
Correct pricing or product-information errors.
Cancel an order affected by a material pricing, inventory, or listing error and issue an appropriate refund for amounts paid for the canceled item.

Any offer for a product or service made through the Site is void where prohibited by law.

5. Orders & Payment

When placing an order, you agree to provide current, complete, and accurate billing, shipping, contact, and payment information.

Submitting an order does not necessarily constitute our final acceptance of the order. We may refuse or cancel an order where reasonably necessary, including suspected fraud, payment problems, inventory issues, customization concerns, prohibited content, or material errors in product information or pricing.

If we cancel an order after payment has been collected, we will refund the applicable amount in accordance with our policies and applicable law.

Payments are processed through Shopify and/or third-party payment providers.

6. Custom & Personalized Products

Many Stwrap® products are customized or personalized specifically for the customer.

You are responsible for carefully reviewing the photographs, images, artwork, logos, text, spelling, names, dates, messages, designs, selections, and other personalization you submit before completing your order.

Once production of a custom or personalized product has begun, the order generally cannot be changed or canceled.

Custom and personalized products are final sale except when a product arrives damaged or defective, Stwrap makes a production or fulfillment error, or otherwise as required by applicable law.

7. Customer-Submitted Photos, Images, Artwork & Content

When you submit photographs, images, artwork, logos, text, messages, designs, or other content for customization (“Customer Content”), you retain ownership of your Customer Content.

By submitting Customer Content to Stwrap, you grant Stwrap and the service providers necessary to fulfill your order a limited, non-exclusive license to access, reproduce, resize, crop, format, modify, print, manufacture, store, transmit, and otherwise process the Customer Content only as reasonably necessary to provide the requested product or service, fulfill and support your order, maintain appropriate business records, resolve disputes, prevent fraud, or comply with applicable law.

Submitting Customer Content does not transfer ownership of that content to Stwrap.

Stwrap does not acquire ownership of your personal photographs merely because you submit them to create a custom product.

Our collection, processing, storage, and disclosure of personal information associated with Customer Content is governed by our Privacy Policy.

8. Your Responsibility for Submitted Content

By submitting Customer Content, you represent and warrant that:

You own the content or have the rights, licenses, permissions, or authorizations necessary to use it.
You have the right to authorize Stwrap to reproduce and use the content as necessary to fulfill your order.
Our fulfillment of your order using the submitted content will not infringe or violate another person's intellectual property, privacy, publicity, or other legal rights.
The content does not violate applicable law.

You are responsible for obtaining permission to use copyrighted artwork, trademarks, logos, professional photographs, celebrity images, team marks, business branding, or other protected material when such permission is legally required.

9. Prohibited Custom Content

You may not submit Customer Content that is unlawful or that infringes the rights of another person or organization.

We reserve the right to refuse, cancel, or decline to produce custom content that we reasonably believe:

Infringes copyrights, trademarks, publicity rights, privacy rights, or other intellectual property rights.
Is unlawful or fraudulent.
Contains malicious or harmful material.
Would expose Stwrap or its service providers to unreasonable legal or operational risk.

If we cancel an order because of prohibited Customer Content, any refund will be determined based on whether production has begun, costs already incurred, applicable law, and the circumstances of the order.

10. Intellectual Property

Unless otherwise indicated, the Site and its content—including Stwrap product designs, photographs owned by Stwrap, graphics, text, logos, branding, software, page designs, and other materials—are owned by or licensed to Stwrap and are protected by applicable intellectual property laws.

STWRAP® is a federally registered trademark of Stwrap, LLC.

EVERY STRAP HAS A STORY™ is a trademark of Stwrap, LLC.

Stwrap products and related technology are protected by U.S. Patent No. 9,142,149 and may be protected by additional intellectual property rights.

Nothing in these Terms grants you a license to use Stwrap trademarks, patented technology, copyrighted materials, product designs, or other intellectual property except as expressly authorized by us in writing.

11. Reviews, Feedback & Other Voluntary Submissions

If you voluntarily provide a product review, testimonial, suggestion, idea, feedback, or similar non-private submission (“Feedback”), you grant Stwrap a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, distribute, and use that Feedback for legitimate business and marketing purposes, subject to applicable law.

This section does not give Stwrap unrestricted marketing rights to personal photographs or other Customer Content submitted solely for the purpose of creating a custom Stwrap product.

You are responsible for ensuring that Feedback you submit is truthful and does not violate another person's rights.

12. Returns, Refunds & Exchanges

Returns, refunds, replacements, exchanges, damaged-product claims, and custom-product claims are governed by our Return & Refund Policy.

Our Stwrap.com return and refund policies apply to purchases made directly through Stwrap.com.

Products purchased through a third-party retailer, marketplace, reseller, distributor, promotional partner, or other seller must generally be returned to or addressed through the original place of purchase under that seller's applicable policies.

Stwrap does not process standard returns or refunds for purchases made through third-party sellers, except where otherwise required by applicable law or expressly agreed by Stwrap.

13. Shipping & Delivery

Shipping times and delivery estimates are estimates and are not guarantees unless expressly stated otherwise.

Stwrap is not responsible for delays caused by carriers, weather, natural disasters, incorrect customer-provided addresses, governmental actions, or other circumstances outside our reasonable control.

Customers are responsible for providing an accurate and complete shipping address.

14. Third-Party Services & Tools

Our Site may use or provide access to services operated by third parties, including payment processors, shipping providers, product-customization technology, analytics providers, advertising platforms, social networks, and other technology providers.

We do not control independent third-party services and are not responsible for their separate websites, services, terms, or privacy practices.

Your use of third-party services may be subject to the terms and privacy policies of those providers.

15. Third-Party Websites & Purchases

The Site may contain links to third-party websites or services that are not owned or controlled by Stwrap.

We are not responsible for the content, accuracy, availability, security, privacy practices, products, or services of independent third-party websites.

If you purchase a Stwrap product from a third-party seller, marketplace, retailer, or other website, the transaction with that seller is also subject to the seller's applicable terms and policies.

Questions concerning a third-party transaction should generally be directed to the original seller.

16. Personal Information & Privacy

Our collection, use, disclosure, retention, and protection of personal information is governed by our Privacy Policy.

Our Privacy Policy also explains certain choices and rights that may be available regarding personal information, cookies, analytics, advertising, and other technologies.

17. Errors, Inaccuracies & Omissions

Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, delivery times, availability, or other information.

We reserve the right to correct errors, inaccuracies, and omissions and to update information or cancel affected orders when appropriate, including after an order has been submitted, subject to applicable law.

18. Prohibited Uses

You may not use the Site or Services:

For an unlawful purpose.
To solicit others to perform unlawful acts.
To violate applicable laws or regulations.
To infringe intellectual property, privacy, publicity, or other legal rights.
To harass, abuse, threaten, defame, intimidate, or discriminate unlawfully.
To submit intentionally false or misleading information.
To upload or transmit viruses, malware, or malicious code.
To improperly collect or track another person's personal information.
To spam, phish, scrape, crawl, or otherwise misuse the Site.
To interfere with or circumvent security features of the Site or Services.

We reserve the right to restrict or terminate access to the Services for violations of this section.

To the fullest extent permitted by applicable law, the Site and Services are provided on an “as is” and “as available” basis.

We do not guarantee that access to the Site will always be uninterrupted, timely, secure, or error-free.

Nothing in these Terms excludes or limits any warranty, guarantee, consumer protection, or other right that cannot lawfully be excluded or limited.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Stwrap, LLC, and its officers, directors, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising from or related to your use of the Site, Services, or products.

Where applicable law does not permit a particular exclusion or limitation of liability, that exclusion or limitation will apply only to the maximum extent permitted by law.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Stwrap, LLC, and its officers, directors, employees, affiliates, agents, and service providers from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:

Your material violation of these Terms.
Your unlawful use of the Site or Services.
Customer Content you submit that infringes or violates another party's rights.
Your violation of applicable law or the rights of another person.

22. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will continue in full force and effect.

23. No Waiver

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

24. Entire Agreement

These Terms, together with the policies and other terms expressly incorporated by reference, constitute the agreement between you and Stwrap regarding your use of the Site and Services and supersede prior agreements concerning the same subject matter.

25. Governing Law

These Terms and any separate agreements through which Stwrap provides Services will be governed by the laws of the State of Ohio, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
